Terms of Service for Sapphire Bharat Learning Inc.

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Participant”) and Sapphire Bharat Learning Inc. (“Sapphire Bharat Learning Inc.,” “we,” “us,” or “our”), a business providing Indian-language and cultural learning services in Canada.

By accessing our website, registering for, purchasing, attending, or otherwise using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws in Canada, including applicable provincial and federal laws, as they may apply to our business activities.

If you do not agree to these Terms, you must not use our services. If you are enrolling a child or another dependent, you confirm that you are the parent, legal guardian, or authorized representative and that you accept these Terms on their behalf.

2. Scope of Services

Sapphire Bharat Learning Inc. provides educational and cultural learning services, which may include, without limitation:

  • Hindi language classes for beginners and intermediate learners;
  • Punjabi language workshops for kids and adults;
  • Tamil conversation and literacy lessons;
  • Indian cultural learning sessions for families;
  • Festival, heritage, and traditions classes;
  • Private one-on-one language tutoring; and
  • Weekend group classes and community learning programs.

We may offer services in person, online, or in hybrid formats, and may modify class schedules, teaching methods, curricula, instructors, age groups, or session formats from time to time. Unless expressly stated otherwise, our services are educational in nature and are not a substitute for professional legal, medical, psychological, or educational assessment services.

We do not guarantee any specific learning outcome, level of fluency, cultural proficiency, or academic result. Progress depends on attendance, participation, practice, and each learner’s individual circumstances.

3. User Obligations and Responsibilities

By using our services, you agree to:

  • provide accurate, current, and complete information during registration and at all other relevant times;
  • maintain the confidentiality of any account credentials, login details, or access links provided to you;
  • ensure that any child or dependent participant is properly supervised where required;
  • attend classes punctually and behave respectfully toward instructors, staff, students, and venue personnel;
  • refrain from disruptive, abusive, discriminatory, harassing, illegal, or unsafe conduct;
  • comply with all reasonable classroom rules, safety instructions, and participation guidelines;
  • not record, reproduce, distribute, publish, or transmit class materials, sessions, or communications without our prior written consent, except where permitted by law;
  • not use our services for any unlawful purpose or in a manner that infringes the rights of others; and
  • promptly notify us of any changes to contact details, health, accessibility, or other information that may affect participation.

You are responsible for any devices, internet access, software, and equipment necessary to participate in online classes. You are also responsible for ensuring that your participation does not violate any workplace, school, parental, custodial, immigration, or other obligations that may apply to you.

We reserve the right to remove, suspend, or refuse service to any participant who fails to comply with these Terms or whose conduct, in our sole and reasonable discretion, is unsafe, disruptive, or inappropriate.

4. Payment Terms and Conditions

Fees for our services will be communicated at the time of registration, enrollment, booking, or purchase. All fees are payable in Canadian dollars unless otherwise stated.

  • Payment may be required in advance to confirm enrollment or reserve a spot in a class or program.
  • We may use third-party payment processors; their terms and privacy policies may also apply.
  • You are responsible for any applicable taxes, including GST/HST, unless otherwise stated on your invoice or receipt.
  • Late or failed payments may result in suspension of access, cancellation of enrollment, or collection efforts where appropriate.
  • Discounts, credits, promotions, scholarships, or waivers, if offered, are discretionary and may be modified or withdrawn at any time unless expressly stated otherwise in writing.

Unless otherwise agreed in writing, fees are non-transferable and apply only to the named participant and the selected service. Missed classes, unused sessions, or partial attendance do not automatically entitle you to a refund or credit.

5. Cancellation and Refund Policy

Our cancellation and refund policy is intended to be fair and transparent while reflecting the scheduling, staffing, and administrative commitments involved in providing educational services.

  • Participant cancellations: If you cancel before a class or program begins, any refund or credit will be determined according to the cancellation terms communicated at registration or, if none are stated, at our discretion and in accordance with applicable law.
  • After commencement: Once a class, program, workshop, or tutoring package has started, refunds may be limited or unavailable except where required by law or expressly approved by us in writing.
  • Missed classes: No refund is generally provided for missed classes, late arrival, absenteeism, or failure to complete coursework.
  • Instructor or schedule changes: We may reschedule, substitute instructors, or adjust class formats where reasonably necessary. If a material change results in cancellation by us, we may offer a make-up session, credit, or refund as appropriate.
  • Force of circumstance: If a session is cancelled due to safety, weather, public health, venue, technology, or other operational reasons, we may provide a rescheduled session or credit instead of a refund, unless otherwise required by law.

Any refund issued will generally be made using the original payment method, subject to processing times of the applicable payment provider. Administrative fees, processing fees, or non-recoverable third-party charges may be deducted where permitted by law and disclosed in advance.

6. Liability Limitations

To the fullest extent permitted by applicable law in Canada, Sapphire Bharat Learning Inc. and its directors, officers, employees, contractors, instructors, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising from or related to your use of our services.

Without limiting the foregoing, we are not responsible for:

  • errors, omissions, or inaccuracies in class content, schedules, or communications;
  • technical failures, internet outages, platform interruptions, or third-party service failures;
  • personal injury, illness, property loss, or damage occurring before, during, or after participation, except to the extent caused by our negligence or wilful misconduct as determined by a court of competent jurisdiction;
  • acts or omissions of third parties, including venues, payment providers, or technology providers; or
  • any reliance placed on educational materials, which are provided for general learning purposes only.

Where liability cannot lawfully be excluded, our total aggregate liability for any claim arising out of or relating to the services will be limited to the amount you paid to us for the specific service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or the minimum amount required by applicable law, whichever is greater.

Nothing in these Terms limits liability for gross negligence, fraud, intentional misconduct, or any other liability that cannot be limited or excluded under applicable law.

7. Intellectual Property Rights

All content, materials, lesson plans, worksheets, audio, video, graphics, logos, text, branding, teaching methods, and other materials made available by Sapphire Bharat Learning Inc. are owned by us or our licensors and are protected by applicable intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable, and revocable license to access and use our materials solely for your own educational or authorized participation in our services. You may not copy, distribute, modify, create derivative works from, sell, sublicense, publicly display, or exploit our materials without our prior written permission.

Any feedback, suggestions, testimonials, or ideas you provide to us may be used by us without restriction or compensation, unless otherwise required by law or agreed in writing.

8. Data Protection and Privacy

We collect, use, disclose, store, and protect personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and any relevant provincial privacy legislation.

Personal information may include your name, contact details, payment information, attendance records, communication history, learning preferences, and any other information you provide to us in connection with our services. We use personal information to:

  • register and manage enrollments;
  • communicate about classes, schedules, billing, and service updates;
  • deliver educational and cultural programming;
  • maintain records, administer accounts, and process payments;
  • respond to inquiries and support requests;
  • comply with legal, regulatory, and tax obligations; and
  • protect against fraud, misuse, or security incidents.

We may share personal information with service providers who assist us in operating our business, provided they are bound by appropriate confidentiality and security obligations. We do not sell personal information in the ordinary course of business.

Where required, we will obtain consent for certain uses or disclosures. By using our services, you consent to our collection, use, and disclosure of personal information as described in our privacy practices and as reasonably necessary to provide the services.

Although we take reasonable safeguards to protect personal information, no method of transmission or storage is completely secure. You acknowledge and accept the inherent risks of sharing information electronically.

9. Force Majeure

Sapphire Bharat Learning Inc. will not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to natural disasters, severe weather, fire, flood, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, labour disputes, power outages, internet or telecommunications failures, government orders, legal restrictions, or venue unavailability.

In the event of force majeure, we may suspend, postpone, cancel, or modify services without liability except for obligations expressly required by law or otherwise stated in these Terms. Where practicable, we will make reasonable efforts to notify affected participants and offer a rescheduled session, credit, or other reasonable alternative.

10. Changes to Terms

We may update or modify these Terms at any time to reflect changes in our services, business practices, operational needs, or legal requirements. When we do so, we will post the revised Terms with a new effective date or otherwise notify you as required by law.

Your continued use of our services after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them or our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to any mandatory consumer protection, privacy, or other non-waivable rights under applicable law, you agree that the courts located in Ontario shall have exclusive jurisdiction over disputes arising from or relating to these Terms or our services.

Nothing in this section limits any rights you may have under applicable consumer protection legislation or any requirement that a claim be heard in a forum mandated by law.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court or other competent authority, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

The failure of Sapphire Bharat Learning Inc. to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly stated in writing.
